Please read these terms carefully before engaging our services. This document outlines our mutual responsibilities, deliverables, and operational processes to ensure a successful project.
1. Acceptance of Terms
By engaging Vertex Design Studio for web design, development, or consulting services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you (the Client) and Vertex Design Studio. If you do not agree to these terms, you may not use our services.
2. Web Design Services Scope
Vertex Design Studio provides comprehensive digital services tailored to each client's specific requirements. The specific deliverables will be outlined in your individual Statement of Work (SOW). Our standard scope typically includes:
- Initial consultation, strategy sessions, and comprehensive project scoping.
- Custom UI/UX design, wireframing, and interactive prototyping.
- Frontend and backend web development using modern frameworks.
- Pre-launch quality assurance testing and post-launch technical support.
3. Intellectual Property Rights
Upon full and final payment of all outstanding invoices, Vertex Design Studio transfers the intellectual property ownership of the final designs and compiled code to the Client. Until full payment is received, Vertex Design Studio retains all rights, title, and interest in the work produced. We reserve the right to display the completed project in our portfolio and marketing materials unless a separate Non-Disclosure Agreement (NDA) is executed prior to the project start.
4. Payment Terms
All payment obligations are non-cancelable and amounts paid are non-refundable. Unless a custom milestone schedule is agreed upon in the SOW, standard payment terms are as follows:
- A 50% non-refundable deposit is required to commence work and secure timeline placement.
- A 25% milestone payment is due upon approval of initial design mockups.
- The final 25% is due prior to site launch, server migration, or final file handover.
- Late payments (exceeding 14 days from invoice date) accrue interest at 1.5% per month.
5. Client Responsibilities
To ensure timely project delivery and the highest quality results, the Client agrees to actively participate in the development process. Responsibilities include:
- Providing all necessary branding assets, written copy, and images according to the agreed schedule.
- Delivering consolidated feedback within 3 business days of any review or approval request.
- Ensuring all provided materials, text, and media do not infringe upon any third-party intellectual property rights.
- Designating a single point of contact authorized to make binding decisions on behalf of the organization.
6. Limitation of Liability & Warranties
Vertex Design Studio provides services 'as is' without warranty of any kind, either expressed or implied. We do not guarantee that the functions contained in any website will be uninterrupted or error-free. In no event will Vertex Design Studio be liable to the Client or any third party for any damages, including lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate the delivered web solutions.
7. Dispute Resolution
In the event of a dispute arising out of or relating to these terms, the parties agree to first attempt to resolve the matter through good faith negotiation. If resolution cannot be reached within 30 days, the dispute shall be resolved through binding arbitration in accordance with the standard commercial arbitration rules. This agreement shall be governed by and construed under the laws of the jurisdiction in which Vertex Design Studio operates.
